6 . On August 1, 2014, SGMS announced a definitive agreement to acquire all of the outstanding shares of BYI for $83.30 per share in cash . 66 Non-GAAP Financial Measures Scientific Games’ management uses non-GAAP financial measures (such as Attributable EBITDA, FCF and EBITDA from Equity Investments) in conjunction with GAAP financial measures to, among other things: (i) monitor and evaluate the performance of Scientific Games’ business operations, as well as the performance of its equity investments; (ii) facilitate management's internal comparisons of Scientific Games’ historical operating performance; (iii) facilitate management's external comparisons of Scientific Games’ results to the historical operating performance of other companies that may have different capital structures and debt levels; and (iv) analyze and evaluate financial and strategic planning decisions regarding future operating investments and operating budgets. Scientific Games’ management believes that Attributable EBITDA is helpful because this non-GAAP financial measure eliminates the effects of unusual, infrequent or other items that management believes have less bearing on Scientific Games’ (or Bally’s, as the case may be) underlying operating performance. Moreover, Scientific Games’ management believes Attributable EBITDA and EBITDA from Equity Investments are useful to investors because a significant amount of Scientific Games’ business is conducted through its equity investments, and those measures eliminate financial items from the equity investees' earnings that management believes have less bearing on the equity investees' performance. Management believes that Attributable EBITDA and FCF provide useful information regarding Scientific Games’ liquidity and its ability to service debt and fund investments. Scientific Games’ management also believes that FCF is useful for investors because it provides them with an important perspective on the cash available for debt repayment and other strategic measures, after making necessary capital investments in property and equipment to support Scientific Games’ ongoing business operations. In addition, Attributable EBITDA and FCF are metrics used in determining performance-based bonuses (subject to certain additional adjustments in the discretion of Scientific Games’ compensation committee). Accordingly, Scientific Games’ management believes that these non-GAAP financial measures are useful as they provide investors with information regarding Scientific Games’ financial condition and operating performance that is an integral part of management's reporting and planning processes. The non-GAAP financial measures presented herein on a combined basis (i.e., Combined Revenue, Combined Attributable EBITDA, Combined Capex, Combined Costs, Combined FCF and Combined FCF Available for Debt Repayment) are being presently as supplemental disclosures for illustrative purposes only. In light of the pending Transaction, Scientific Games’ management believes it is useful to investors to present these non-GAAP financial measures on an illustrative basis that combine the results of Bally and Scientific Games.
