Item 5.02.  Departure of Directors or Certain Officers; Election of Directors;
            Appointment of Certain Officers; Compensatory Arrangements of
            Certain Officers

            Randy J. Hendricks, executive vice president and president of the
company's Global Industries business unit, will be leaving Unisys Corporation
on June 15, 2008 to lead the Applications Services and Systems Integration
organization at EDS.
