Item 8.01         Other Events

On August 4, 2022, the Company issued a press release regarding the completion of the execution of a Letter of Intent agreement with the Coachella Valley Water District, the Salton Sea Authority, and Torres Martinez Desert Cahuilla Indians, a federally recognized Tribe of Cahuilla Indians (“Torres Martinez Tribe”), which provides for the reservation of an annual supply of 5,000 acre-feet of water from the Company’s Cadiz Water Conservation and Storage Project for the benefit of the Salton Sea and the Torres Martinez Tribe, as well as related commitments.
