Explanation of Responses:

1. This transaction was not directed by the reporting person.

2. The shares are held in a trust in which the reporting person is a beneficiary and his mother is the trustee. The reporting person has been granted a power of attorney over his mother's personal affairs, and there is a question as to whether the power of attorney legally gives the reporting person any authority with regard to the shares held in the trust. Accordingly, the reporting person disclaims beneficial ownership of these securities and this report shall not be deemed an admission that the reporting person is the beneficial owner of the securities for purposes of Section 16 or for any other purpose.
