Item 3.01  Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

In a press release dated October 2, 2007, the Registrant disclosed that it would be unable to file its Quarterly Report on Form 10-Q for the quarter ended August 31, 2007 by the required filing date. As a result of its failure to file such Quarterly Report, the Registrant received a Nasdaq Staff Determination on October 12, 2007 indicating that the Registrant failed to comply with the filing requirements for continued listing set forth in Marketplace Rule 4310(c)(14) and that its securities are therefore subject to delisting from the Nasdaq Global Market. The Registrant anticipates that it will request and participate in a hearing before a Nasdaq Listing Qualifications Panel to review the Staff Determination. There can be no assurance that the Panel will grant the Registrant's request for continued listing.

On October 12, 2007, the Registrant issued a press release with respect to the foregoing, a copy of which is filed as an exhibit hereto.
