Item 8.01 Other Events.

On December 12, 2013, Applied Materials, Inc. ("Applied") received a request for additional information from the United States Department of Justice ("DOJ") with respect to the previously announced proposed transaction between Applied and Tokyo Electron Limited ("TEL"). The request, more commonly referred to as a "Second Request," is an expected part of the DOJ review process that extends the waiting period of the regulatory process under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. Applied will work with the DOJ as it conducts its review of the proposed transaction and will continue to work to obtain all required regulatory approvals as quickly as possible.

The closing of the transaction is subject to customary conditions, including approval by Applied’s and TEL’s stockholders and regulatory approvals. Applied continues to expect the transaction to close in mid to second half of 2014.
