Other Events

On August 27, 2019, The Hershey Company (“Hershey”) issued a press release announcing its entry into a Unit Purchase Agreement pursuant to which, and upon the terms and subject to the conditions thereof, Hershey will acquire all of the issued and outstanding equity of One Brands, LLC for a purchase price of $397 million in cash, subject to certain adjustments.

The Unit Purchase Agreement contains customary conditions, including, among others, (i) the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, (ii) the absence of any law or order prohibiting the consummation of the transactions contemplated in the Unit Purchase Agreement and (iii) the accuracy, to specified degrees, of representations and warranties set forth therein and material compliance with covenants. Hershey expects the acquisition to close during the fourth quarter of 2019.
