Elliott Associates, L.P. and Elliott International, L.P., together with the other participants in such proxy solicitation (collectively, “Elliott”), have filed a definitive proxy statement and accompanying BLUE proxy card with the Securities and Exchange Commission to be used to solicit votes for the election of its slate of four highly-qualified director nominees at the 2017 annual meeting of shareholders of Arconic Inc., a Pennsylvania corporation.

 

On May 4, 2017, Elliott issued the following statement:

“Change is not simply about bringing in new people. Change requires a belief that real improvements are warranted in the way a company operates and approaches important issues ranging from strategy to governance. This Board has excused or been responsible for governance failures ranging from vote-buying, to poison puts, to the determined defense for years of one of the most retrograde governance regimes in corporate America. The fact that the Board continues, even now, to defend and endorse the former CEO’s failed strategies and performance, is a clear indication that it believes that no real change at Arconic is necessary. This mindset puts them at odds not just with Elliott but also with every Arconic shareholder that has expressed a public position on this contest. We urge all Arconic shareholders to vote for change on May 25th.”
