Completes Sale of Juicy Couture Intellectual Property to Authentic Brands Group

New York, NY – November 7, 2013 – Fifth & Pacific Companies, Inc. (NYSE:FNP) today announced results for the third quarter of 2013. For the third quarter of 2013 on a GAAP basis, loss from continuing operations was ($15) million, or ($0.12) per share, compared to loss from continuing operations of ($19) million, or ($0.17) per share, for the third quarter of 2012.

 

Net sales for the third quarter of 2013 were $431 million, an increase of $66 million, or 18.1%, from the comparable 2012 period. Adjusted loss per share from continuing operations for the third quarter of 2013 was ($0.03), compared to adjusted loss per share from continuing operations of ($0.05) for the third quarter of 2012.

 

Adjusted EBITDA, net of foreign currency transaction adjustments, was $25 million for the third quarter of 2013 and $21 million for the third quarter of 2012.

 

The Company also announced third quarter 2013 direct-to-consumer comparable sales as follows:

For the first nine months of 2013, the Company recorded a loss from continuing operations of ($91) million, or ($0.75) per share, compared to a loss from continuing operations for the first nine months of 2012 of ($121) million, or ($1.12) per share. Adjusted loss per share from continuing operations in the first nine months of 2013 was ($0.30) compared to an adjusted loss per share from continuing operations of ($0.35) in the first nine months of 2012. Net sales for the first nine months of 2013 were $1.184 billion, an increase of $166 million, or 16.3%, from the comparable 2012 period.

 



 

William L. McComb, Chief Executive Officer of Fifth & Pacific Companies, Inc., said: “We successfully completed the sale of the intellectual property of the Juicy Couture brand to the Authentic Brands Group for $195 million in cash. As discussed previously, we have also entered a short-term licensing agreement with Authentic Brands Group that allows us to transition the business in an orderly fashion through the first half of 2014, with a $10 million guaranteed minimum royalty payable to Authentic Brands Group. We expect cash restructuring and other cash transition costs (including estimated contract termination, employee-related and other costs) to be in the range of $50 to $60 million. We expect transaction costs, including professional fees, to approximate $10 million. The resulting net proceeds of this transaction are estimated at $125 to $135 million. We are very pleased to have completed this transaction and believe that the brand has a bright future under the direction of Authentic Brands Group.”

 

Mr. McComb added: “We are exploring opportunities to unlock value associated with the Juicy Couture store on Fifth Avenue. We believe proceeds from a transaction resulting in exiting this lease are likely to materially improve the total net proceeds resulting from our decision to sell and exit the Juicy Couture business. We are also weighing this opportunity against the merits and economics of converting the Fifth Avenue store into a Kate Spade store. We expect to finalize our decision in the near future.”

 

Mr. McComb continued: “Adjusted EBITDA, net of foreign currency transaction adjustments, for the total Company was $25 million in the third quarter, compared to $21 million in the third quarter of 2012. Kate Spade posted a 76% increase in total net sales, driven by strong performance in all channels of its business and a 31% increase in direct-to-consumer comparable sales. Excluding the impact of $25 million in net sales associated with Kate Spade Japan, net sales for Kate Spade increased 52%.”

 

Mr. McComb concluded: “At Lucky Brand, total net sales increased 7% in the third quarter, while direct-to-consumer comparable sales were essentially flat in the quarter. We are not prepared at this time to make comments on any process or decisions about Lucky Brand. If and when we have news to announce on Lucky, we will do so. Looking toward year-end, we are now tightening our forecast of total Fifth & Pacific Companies’ adjusted EBITDA, net of foreign currency transaction adjustments, to the range of $120 to $140 million, which excludes Juicy Couture results.”

 

The adjusted results for the third quarter and first nine months of 2013 and 2012, as well as forward-looking targets, exclude the impact of expenses incurred in connection with the Company’s streamlining initiatives, brand-exiting activities, acquisition related costs, impairment of intangible assets, losses on extinguishment of debt, impairment of cost investment and interest expense charges related to a multi-employer pension withdrawal liability. The Company believes that the adjusted results for such periods represent a more meaningful presentation of its historical operations and financial performance since these results provide period to period comparisons that are consistent and more easily understood. The attached tables, captioned “Reconciliation of Non-GAAP Financial Information,” provide a full reconciliation of actual results to the adjusted results. We present Adjusted EBITDA, which we define as income (loss) from continuing operations, adjusted to exclude income tax provision (benefit), interest expense, net, depreciation and amortization, net, losses on extinguishment of debt, expenses incurred in connection with the Company’s streamlining initiatives, brand-exiting activities, acquisition related costs, non-cash impairment charges, losses on asset disposals and non-cash share-based compensation expense. We also present Adjusted EBITDA, net of foreign currency transaction adjustments, which is Adjusted EBITDA further adjusted to exclude unrealized and certain realized foreign currency transaction adjustments, net. We present the above-described Adjusted EBITDA measures because we consider

them important supplemental measures of our performance and believe they are frequently used by securities analysts, investors and other interested parties in the evaluation of companies in our industry.

THIRD QUARTER RESULTS

 

Adjusted EBITDA

 

During the fourth quarter of 2012, we determined that our measure of segment profitability is Adjusted EBITDA of each reportable segment.  Accordingly, our CEO evaluates performance and allocates resources based primarily on Segment Adjusted EBITDA.  Segment Adjusted EBITDA is also a key metric utilized in our annual bonus and long-term incentive plans. Segment Adjusted EBITDA excludes: (i) depreciation and amortization; (ii) charges due to streamlining initiatives, brand-exiting activities and acquisition related costs; and (iii) losses on asset disposals and impairments. Unallocated Corporate costs also exclude non-cash share-based compensation expense.  Therefore, Segment Adjusted EBITDA does not include Corporate costs associated with the following functions: corporate finance, investor relations, communications, legal, human resources and information technology shared services and costs of executive offices and corporate facilities, which are included in Unallocated Corporate costs. We do not allocate amounts reported below Operating loss to our reportable segments, other than equity income (loss) in equity method investees. Our definition of Segment Adjusted EBITDA may not be comparable to similarly titled measures of other companies.

 

Overall Results

 

Net sales from continuing operations for the third quarter of 2013 were $431 million, an increase of $66 million, or 18.1% from the third quarter of 2012, reflecting an increase in sales in our Kate Spade and Lucky Brand segments, partially offset by declines in sales in our Juicy Couture and Adelington Design Group segments. Net sales for the third quarter of 2013 included $25 million of Kate Spade Japan net sales.

 

Gross profit as a percentage of net sales increased to 56.5% in the third quarter of 2013, compared to 55.7% in the comparable 2012 period, primarily reflecting increased gross profit rates in our Juicy Couture and Adelington Design Group segments and increased gross profit in our Kate Spade segment, which runs at a higher gross profit rate than the Company average.

 

Selling, general & administrative expenses (“SG&A”) increased $39 million, or 19.0%, to $242 million in the third quarter of 2013 compared to the third quarter of 2012. The increase in SG&A reflected the following:

 

·      A $43 million increase in SG&A in our Kate Spade and Lucky Brand segments, primarily related to direct-to-consumer expansion reflecting: (i) increased e-commerce fees and

advertising expenses; (ii) increased compensation related expenses and (iii) increased rent and other store operating expenses. The increase also included incremental SG&A associated with Kate Spade Japan and the launch of Kate Spade Saturday;

·      A $3 million decrease in costs at Corporate and in our Juicy Couture and Adelington Design Group segments; and

·      A $1 million decrease in expenses associated with our streamlining initiatives, brand-exiting activities and acquisition related costs.

 

SG&A as a percentage of net sales was 56.2% in the third quarter of 2013, compared to 55.8% in the third quarter of 2012.

 

Impairment of Intangible Assets was ($3) million in the third quarter of 2013, reflecting a non-cash impairment charge in our Adelington Design Group segment related to our TRIFARI trademark.

 

Operating Loss was ($2) million ((0.5%) of net sales) in the third quarter of 2013 compared to an operating loss of ($0.3) million ((0.1%) of net sales) in the third quarter of 2012.

 

Other Income (Expense), net was $1 million in the third quarter of 2013, compared to ($1) million in the third quarter of 2012, primarily reflecting (i) foreign currency transaction gains and losses and (ii) equity in (losses) earnings of our investments in equity investees.

 

Loss on Extinguishment of Debt was ($1) million in the third quarter of 2013 resulting from the conversion of $9 million aggregate principal amount of our Convertible Notes into 2.5 million shares of our common stock compared to a ($3) million loss in the third quarter of 2012 in connection with the repurchase of 53 million euro aggregate principal amount of our Euro Notes.

 

Interest expense, net was $12 million in the third quarter of 2013, compared $13 million in the third quarter of 2012, primarily reflecting a decrease of $1 million in the amortization of deferred financing fees and a $1 million decrease in interest expense related to the Euro Notes and Convertible Notes, partially offset by a $1 million increase in interest expense on outstanding borrowings under our Amended Facility.

 

Provision for Income Taxes was $1 million in the third quarter of 2013 and $2 million in the third quarter of 2012, primarily representing increases in deferred tax liabilities for indefinite-lived intangible assets, current tax on operations in certain jurisdictions and an increase in the accrual for interest related to uncertain tax positions.

 

Loss from continuing operations in the third quarter of 2013 was ($15) million, or ($0.12) per share, compared to a loss of ($19) million, or ($0.17) per share in the third quarter of 2012. Adjusted loss per share from continuing operations in the third quarter of 2013 was ($0.03), compared to adjusted loss per share from continuing operations of ($0.05) in the third quarter of 2012.

 

Net loss in the third quarter of 2013 was ($17) million, inclusive of losses related to discontinued operations of ($2) million, compared to a net loss of ($19) million, inclusive of income related to discontinued operations of $1 million, in the third quarter of 2012. Net loss per share was ($0.14) in the third quarter of 2013, compared to a net loss per share of ($0.17) in the third quarter of 2012.

 

Balance Sheet and Cash Flow

Accounts Receivable decreased $5 million, or 3.8%, at the end of the third quarter of 2013 compared to the third quarter of 2012, primarily due to decreased wholesale sales in our Juicy Couture and Adelington Design Group segments, partially offset by increased wholesale sales in our Kate Spade and Lucky Brand segment and the impact of the Kate Spade Japan buyout.

 

Inventories increased $65 million, or 26.5% at the end of the third quarter of 2013 compared to the third quarter of 2012, primarily due to an increase in Kate Spade inventory to support growth initiatives, an increase in Lucky Brand inventory and the impact of the Kate Spade Japan buyout.

 

Cash flow used in continuing operating activities for the last twelve months was ($1) million, including a $20 million advance refunded to JCPenney in February 2013.

 

Debt outstanding increased to $529 million in the third quarter of 2013 compared to $418 million in the third quarter of 2012. We ended the third quarter of 2013 with $7 million in cash and cash equivalents and marketable securities, compared to $32 million at the end of the third quarter of 2012. The $136 million increase in our net debt position over the last twelve months primarily reflected: (i) the funding of $109 million of capital and in-store shop expenditures over the last 12 months; (ii) the payment of $41 million for the Kate Spade Japan buyout; (iii) the conversion of $32 million aggregate principal amount of our Convertible Notes into 9.0 million shares of our common stock; (iv) the receipt of aggregate net proceeds of $29 million from the sale-leaseback of our Ohio Facility and North Bergen, NJ office; and (v) the use of $23 million in cash from discontinued operations over the past 12 months.

 

Segment Highlights

 

Net sales and Segment Adjusted EBITDA for our reportable segments are provided below:

 

Juicy Couture

 

Net sales for Juicy Couture were $118 million, a 9.1% decrease compared to 2012, which primarily reflected decreases in our wholesale non-apparel, specialty retail and wholesale apparel operations, partially offset by increases in our e-commerce and outlet operations.

 

Store counts and key operating metrics are as follows:

   We ended the quarter with 74 specialty retail stores, 52 outlet stores and 2 concessions, reflecting the closure (net of openings) of 4 specialty stores and 1 outlet store over the past 12 months;

   Average retail square footage in the third quarter was approximately 407 thousand square feet, a 3.0% decrease compared to 2012;

   Sales per square foot for comparable stores for the latest twelve months were $645; and

   Comparable direct-to-consumer sales (inclusive of e-commerce and concessions) decreased (3%) in the third quarter of 2013.

 

Juicy Couture Segment Adjusted EBITDA in the third quarter of 2013 and 2012 was $7 million (5.9% and 5.0% of net sales, respectively).

 

Lucky Brand

Net sales for Lucky Brand were $120 million, a 7.3% increase compared to 2012, reflecting increases in our wholesale apparel and outlet operations, partially offset by a decrease in our wholesale non-apparel operations.

 

Store counts and key operating metrics are as follows:

   We ended the quarter with 174 specialty retail stores and 65 outlet stores, reflecting the opening (net of closures) of 21 outlet stores over the last 12 months;

   Average retail square footage in the third quarter was approximately 571 thousand square feet, a 3.7% increase compared to 2012;

   Sales per square foot for comparable stores for the latest twelve months were $462; and

   Comparable direct-to-consumer sales (inclusive of e-commerce) increased 0.1% in the third quarter of 2013.

 

Lucky Brand Segment Adjusted EBITDA in the third quarter was $5 million (4.1% of net sales), compared to Segment Adjusted EBITDA of $7 million (6.0% of net sales) in 2012.

 

Kate Spade

 

Net sales for Kate Spade were $180 million, a 76.4% increase compared to 2012, reflecting increases across all operations in the segment. Net sales for the third quarter of 2013 included $25 million of Kate Spade Japan net sales.

 

Store counts and key operating metrics are as follows:

   We ended the quarter with 107 specialty retail stores, 48 outlet stores and 41 concessions, reflecting the opening (net of closures) of 23 specialty retail stores, 18 outlet stores and 9 concessions over the last 12 months and the addition of 21 specialty retail stores and 32 concessions resulting from the Kate Spade Japan buyout;

   Average retail square footage in the third quarter was approximately 273 thousand square feet, a 66.0% increase compared to 2012;

   Sales per square foot for comparable stores for the latest twelve months were $1,226; and

   Comparable direct-to-consumer sales (inclusive of e-commerce) increased 31% in the third quarter of 2013.

 

Kate Spade Segment Adjusted EBITDA in the third quarter was $24 million (13.1% of net sales), compared to Segment Adjusted EBITDA of $16 million (15.4% of net sales) in 2012.

 

Adelington Design Group

 

Net sales for the Adelington Design Group segment decreased $8 million, or 38.8%, in the third quarter to $13 million, reflecting:

   A net $11 million decrease, primarily related to the licensed LIZ CLAIBORNE brands, including LIZWEAR and LIZ CLAIBORNE NEW YORK; and

   A $2 million increase in the wholesale non-apparel operations of our licensed Monet brand and our TRIFARI brand.

 

Adelington Design Group Segment Adjusted EBITDA in the third quarter was $4 million (30.6% of net sales), compared to Segment Adjusted EBITDA of $7 million (34.7% of net sales) in 2012.

 

Corporate

Unallocated Corporate Costs decreased from ($16) million in the third quarter of 2012 to ($15) million in 2013, primarily reflecting reduced payroll and related expenses.
