The Fund Shares and the Fund Warrants are currently convertible into, or exerciseable for, 842,696 and 84,270 shares, respectively, of the Issuer's Common Stock. The working capital of the Fund was the source of funds for this purchase. Purpose of Transaction: ----------------------- The Fund acquired the Issuer's securities for investment purposes. Depending on market conditions, their continuing evaluation of the business and prospects of the Issuer and other factors, the Fund may dispose of or acquire additional securities of the Issuer.
