1. Adjusted to reflect receipt of dividend equivalents representing a total of 829 Restricted Stock Units on March 31, 2004, June 30, 2004, and September 30, 2004 in transactions exempt pursuant to Rule 16a-11.
2. The reporting person disclaims beneficial ownership of the securities held by his daughter, and this report shall not be deemed an admission that the reporting person is the owner of such securities for purposes of Section 16 or any other purpose.
