Explanation of Responses:
1. Excludes shares of common stock relating to the voting group described below under "Remarks".
2. The Series C Voting Preferred Stock has no expiration date.
3. The Series C Voting Preferred Stock (the "Preferred Stock"), vote together with the holders of the Issuer's common stock on all shareholder matters. At each vote, each share of Preferred Stock entitles the holder to 7,500 votes on all matters. Additionally, the holders of Preferred Stock, voting as a group, subject to certain limitations and termination rights, have the right to appoint up to two members to the Issuer's Board of Directors. The Preferred Stock is convertible into common stock on a 1 for 1 basis, at any time at the option of the holder thereof, and automatically converts into common stock if the beneficial ownership of the Reporting Person and the other holders of Preferred Stock of the Issuer, falls below 10% of the Issuer's then outstanding common stock.
Remarks:
By virtue of being party to a Nominating and Voting Agreement, dated as of April 9, 2024 (the "Voting Agreement"), the Reporting Person, may be deemed to be a member of a "group" for purposes of Section 13(d) of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), with respect to the securities reported herein, with the other parties who are bound by the Voting Agreement and their control persons, which such "group" beneficially owns, in the aggregate, more than 10% of the outstanding shares of common stock of the Issuer. The parties to the Voting Agreement are the Issuer, Anthony Brian Goodman, the Issuer's Chief Executive Officer and director, Luxor Capital LLC, which is owned and controlled by Mr. Goodman, Aleksandar Milovanovic, Zoran Milosevic and Snezana Bozovic. The Reporting Person disclaims beneficial ownership of any securities owned by any of the other signatories to the Voting Agreement (and/or their control persons) and the filing of this Form 3 shall not be deemed an admission, for purposes of Section 16 of the Exchange Act or otherwise, that the Reporting Person and any other person or persons constitute a "group" for purposes of Section 13(d)(3) of the Exchange Act or Rule 13d-5 thereunder. In addition, the Reporting Person does not have any pecuniary interest in any of the securities beneficially owned by any of the other signatories to the Voting Agreement (and/or their control persons).
