1. The securities are directly held by Gauzy Ltd. ("Gauzy"). The Reporting Person is the Chief Executive Officer and Chairman of the Board of Directors of Gauzy. The Reporting Person disclaims beneficial ownership of the securities held by Gauzy except to the extent of his pecuniary interest therein, if any. This filing shall not be deemed an admission that the Reporting Person is the beneficial owner of any such shares of common stock for the purpose of Section 16 or for any other purpose.
