1. Includes 28,406 Restricted Stock Units that each represent a contingent right to receive one share of the Issuer's common stock, par value $0.01 ("Common Stock") in each case subject to the Reporting Person's continued employment with the Issuer through the applicable vesting date.
2. Represents a non-qualified stock option to purchase shares of Common Stock granted on June 30, 2021. The option will vest and become exercisable in four installments of 4,166, 4,166, 4,166 and 4,169 shares on July 6th in each of 2022, 2023, 2024 and 2025, respectively.
3. Represents a non-qualified stock option to purchase shares of Common Stock granted on March 31, 2022. The option will vest and become exercisable in four installments of 7,288, 7,288, 7,288 and 7,291 shares on March 31st in each of 2023, 2024, 2025 and 2026, respectively.
