Explanation of Responses:

1. Ithaca L.P. is the direct holder of 59,950,017 shares of Class A common stock. Ithaca L.P. acts through its general partner, Ithaca G.P. Limited.

2. Ithaca G.P. Limited may be deemed to share voting and dispositive power over the Class A Common Stock held by Ithaca L.P., but disclaims beneficial ownership of such Class A Common Stock except to the extent of its pecuniary interest therein.

Remarks:

Each of Ryan Lanpher and Brian Ruder is affiliated with the Reporting Persons and currently serves on the board of directors of the Issuer as the Reporting Persons' representative, and therefore the Reporting Persons may be deemed a "director by deputization" of the Issuer.
