Results of the Annual and Special General Meeting of Shareholders

On June 28, 2023, Maris-Tech Ltd. (the “Company”) held an Annual and Special General Meeting of Shareholders (the “Meeting”) for the following purposes:

Proposal No. 1 To re-appoint Kesselman & Kesselman, a member firm of PwC International Limited as the independent auditor of the Company and to authorize the Board of Directors of the Company to determine their remuneration, until the next annual general meeting of the Company’s shareholders;

Proposal No. 2 To re-appoint Amitay Weiss and Ms. Naama Falach Avrahamy to serve as a Class II directors for a three-year term continuing until the Company’s 2026 annual general meeting of shareholders and to approve the compensation of each of Mr. Weiss and Ms. Avrahamy;

Proposal No. 3 To approve the repricing of options granted to certain of the Company’s officers and directors under the Company’s share option plan; and

Proposal No. 4 To approve the repricing of options granted to a service provider of the Company under the Company’s share option plan, who is a relative of Mr. Israel Bar, the Chief Executive Officer and a director of the Company.

At the Meeting, a quorum was present and the shareholders of the Company present or represented by proxy approved each proposal as presented at the Meeting and described in the Proxy Statement.
