Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As reported below in Item 5.07, Nuvve Holding Corp. (the “Company”) held its 2023 Annual Meeting of Stockholders (the “Annual Meeting”) at which the Company's stockholders approved an amendment and restatement of the Company’s 2020 Equity Incentive Plan (the “Incentive Plan”) to increase the number of shares available for the grant of awards by 4,000,000 shares and add an “evergreen” provision whereby the number of shares authorized for issuance pursuant to awards under the Incentive Plan will be automatically increased on each January 1 beginning on January 1, 2024 and, through and including January 1, 2030, by a number of shares equal to the smaller of (a) five percent (5%) of the number of shares of our common stock issued and outstanding on the immediately preceding December 31, and (b) an amount determined by the Board;. A summary of the material terms of the Incentive Plan is set forth in the Company's definitive proxy statement for the Annual Meeting, which was filed with the Securities and Exchange Commission on April 18, 2023. A copy of the amended and restated Incentive Plan is attached as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.

Item 5.07. Submission of Matters to a Vote of Security Holders.

On June 2, 2023, the Company held its Annual Meeting.

At the Annual Meeting, the stockholders of the Company: (i) elected H. David Sherman and Angela Strand as Class B directors to serve as members of the Board of Directors of the Company (the “Board”), to hold office until the third succeeding annual meeting and until his or her respective successor is duly elected and qualified; (ii) approved a proposed amendment and restatement of the Company’s 2020 Equity Incentive Plan to increase the number of shares available for the grant of awards by 4,000,000 shares and add an “evergreen” provision whereby the number of shares authorized for issuance pursuant to awards under the Incentive Plan will be automatically increased on each January 1 beginning on January 1, 2024 and, through and including January 1, 2030, by a number of shares equal to the smaller of (a) five percent (5%) of the number of shares of our common stock issued and outstanding on the immediately preceding December 31, and (b) an amount determined by the Board; and (iii) ratified the selection of Deloitte & Touche LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2023.

There were 25,042,469 shares of Common Stock, $0.0001 par value, outstanding and entitled to vote at the Annual Meeting, and a total of 15,581,833 votes (62.22%) were represented at the Annual Meeting.

Set forth below, with respect to each such proposal, are the number of votes cast for, and against or withheld.
