Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement includes an indeterminate number of additional Class A ordinary shares, par value US$0.0001 per share (the “Class A Ordinary Shares”) of Qutoutiao Inc. (the “Company” or “Registrant”), which may be offered and issued under the Registrant’s Equity Incentive Plan (the “Plan”) to prevent dilution from stock splits, stock dividends or similar transactions.

These Class A Ordinary Shares may be represented by the Registrant’s American depositary shares (“ADSs”), every four of which represents one Class A Ordinary Share. ADSs issuable upon deposit of the securities registered hereby have been registered under a separate registration statement on Form F-6 (Registration No. 333-227181).

Represents Class A Ordinary Shares of the Registrant issuable pursuant to 12,175,583 options outstanding under the Plan plus an additional 288,558 Class A Ordinary Shares reserved for issuance with respect to future awards under the Plan.

The Registrant’s sixth amended and restated memorandum and articles of association permit indemnification of officers and directors for all actions, proceedings, charges, liabilities losses, damages, costs and expenses incurred or sustained by such persons, other than by reason of such persons’ own dishonesty, willful default or fraud which may attach to such directors or officers as determined by a court of competent jurisdiction, in or about the conduct of the Registrant’s business or affairs (including as a result of any mistake of judgment) or in the execution or discharge of his duties, powers, authorities or discretions.
