Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Resignation of Messrs.  Burgstahler and Tamaroff from the Board of Directors

 

On August 6, 2019, David Burgstahler and Joshua Tamaroff each resigned from the Board of Directors (the “Board”) of WideOpenWest, Inc. (the “Company”).  The Company accepted each resignation, effective immediately, and is deeply appreciative of the many years of service contributed to the Company by each of Messrs. Burgstahler and Tamaroff.  These resignations were not due to any disagreement on any matter relating to the Company’s operations, policies or practices.

 

Messrs. Burgstahler and Tamaroff were members of the Board as appointees of Avista Capital Partners (“Avista”), a private equity firm focused on growth capital and leveraged buyout investments in middle-market companies, and a long-time sponsor of the Company whose investment pre-dates the Company’s initial public offering.  On August 6, 2019, Avista determined to distribute its shares of the Company’s stock to its limited partners in its capacity as the general partner of several funds.  The resignations of Messrs. Burgstahler and Tamaroff are in connection with this wind-down of Avista’s stock holdings in the Company.
