Item 3.02.

Unregistered Sales of Equity Securities.

On August 20, 2018, Magnolia Oil & Gas Corporation (the “Company”) agreed, subject to customary closing conditions, to acquire substantially all of the South Texas assets of Harvest Oil & Gas Corp. for approximately $135 million in cash and 4.2 million newly issued shares of the Company’s Class A Common Stock (the “Class A Common Stock”). The Class A Common Stock is expected to be issued in reliance upon the exemption from registration provided in Section 4(a)(2) of the Securities Act of 1933, as amended.
