EXPLANATORY NOTE

On April 24, 2023, LumiraDx Limited (the “Company”) issued a press release announcing that it has received notification from The Nasdaq Stock Market LLC that it is not in compliance with the minimum bid price requirement for continued listing on the Nasdaq Global Market.
