(1)          Pursuant to Rule 416 under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement shall also cover any additional shares of the registrant’s common stock, par value $0.0001 per share (“Common Stock”), which become issuable under the above-named plans by reason of any stock dividend, stock split, recapitalization or any other similar transaction effected without the receipt of consideration which results in an increase in the number of outstanding shares of Common Stock.

(2)          Represents 764,893 shares of Common Stock reserved for issuance pursuant to future awards under the Tabula Rasa HealthCare, Inc. 2016 Omnibus Incentive Compensation Plan (the “2016 Equity Compensation Plan”).  The number of shares reserved for issuance under the 2016 Equity Compensation Plan will automatically increase on the first trading day in January of each calendar year, beginning in calendar year 2017, by an amount equal to the lesser of 5% of the total number of outstanding shares of Common Stock on the last trading day in December of the prior calendar year or such other number set by the Registrant’s board of directors.

(3)          Estimated solely for the purpose of calculating the amount of the registration fee pursuant to Rule 457(h) and Rule 457(c) promulgated under the Securities Act. The offering price per share and the aggregate offering price with respect to shares reserved for future grant under the Registrant’s 2016 Equity Compensation Plan is based upon the average of the high and low prices of the Registrant’s Common Stock as reported on The NASDAQ Global Market on October 6, 2016.

(4)          Represents 2,722,678 shares of Common Stock subject to outstanding stock option awards.  To the extent shares of Common Stock are subject to outstanding awards and such awards are forfeited, terminated or otherwise not paid in full, the shares of Common Stock subject to such grants will again be available for issuance under the 2016 Equity Compensation Plan.

(5)          Estimated solely for the purpose of calculating the amount of the registration fee pursuant to Rule 457(h) promulgated under the Securities Act. The offering price per share and the aggregate offering price with respect to shares of Common Stock reserved for issuance upon exercise of outstanding stock option awards is based upon the weighted average exercise price of the outstanding stock option awards.

(6)          The total amount of registration fees owed pursuant to this registration statement on Form S-8 is offset by the fee paid in connection with the registration statement on Form S-1 originally filed by the Registrant on January 4, 2016, as amended (File No. 333-208857).

Section 145 of the Delaware General Corporation Law (referred to as the “DGCL”) authorizes a court to award, or a corporation’s board of directors to grant, indemnity to directors and officers in terms sufficiently broad to permit such indemnification under certain circumstances for liabilities, including reimbursement for expenses incurred, arising under the Securities Act.

 

The Registrant’s amended and restated certificate of incorporation provides for indemnification of its directors, officers and agents to the maximum extent permitted by the DGCL, and the Registrant’s bylaws provide for indemnification of its directors, officers and agents to the maximum extent permitted by the DGCL.

 

In addition, the Registrant has indemnification agreements with its directors containing provisions which are in some respects broader than the specific indemnification provisions contained in the DGCL. The indemnification agreements require the Registrant, among other things, to indemnify its directors against certain liabilities that may arise by reason of their status or service as directors and to advance their expenses incurred as a result of any proceeding against them as to which they could be indemnified.

 

The Registrant maintains insurance policies that indemnify its directors and officers against various liabilities arising under the Securities Act and the Exchange Act that might be incurred by any director or officer in his or her capacity as such.
