Item 8.01    Other Events

Effective September 11, 2019, Roland L. Williams resigned from his position as a member of the Board of Directors of Allegiance Bank (the “Bank”) and will no longer serve as Executive Vice Chairman of the Bank. Mr. Williams will continue to serve on the Board of Directors of Allegiance Bancshares, Inc.

In connection with these changes, the Bank entered into a Separation Agreement with Mr. Williams. The Separation Agreement provides for a lump sum payment of his $350,000 yearly base salary and $33,547 quarterly bonus that would have been paid through September 30, 2021, the end of the original term of Mr. Williams’ employment agreement. In addition, the Separation Agreement continues certain restrictions in the employment agreement regarding confidentiality, noncompetition and nonsolicitation of employees and customers through September 2021.
