As one of the two members of the board of managers and the President of GP Investment, the Reporting Person may be deemed to beneficially own the shares of Common Stock owned directly by GP Investment. The Reporting Person disclaims beneficial ownership of the shares of Common Stock reported herein except to the extent of his pecuniary interest therein.
