Explanation of Responses:

1. Restricted Stock Grant.

2. These Common Shares were issued as "Restricted Stock" under the terms of the Urban Edge Properties 2015 Omnibus Share Plan (the "Plan").

3. These shares vest according to the following schedule, subject to continued employment through each vesting date: 5,278 shares vest on January 1, 2016; 5,278 shares vest on January 1, 2017; 4,913 shares vest on January 1, 2018; 4,231 shares vest on January 1, 2019; and 1,228 shares vest on January 1, 2020; provided that if the reporting person (a) is terminated without "Cause" or (b) resigns for "Good Reason" (as such terms are defined in the Plan) before his equity grant is fully vested, then the unvested portion of his initial equity grant shall continue to vest according to the previous schedule, notwithstanding the fact that he is no longer an employee of the Company on such vesting dates.
