1. The shares of common stock reported herein are directly beneficially owned by KRNB Holidings LLC. Mr. Kohen is the manager of KRNB Holdings LLC, having sole voting power and control over the shares of common stock reported herein, and thus may be deemed to indirectly beneficially own (as that term is defined in Rule 13d-3 under the Securities Exchange Act of 1934) the shares that KRNB Holdings LLC owns.
