We wanted to let you know that we announced today that the Company’s Board of Directors approved a definitive merger agreement under which Michaels will be acquired by funds managed by affiliates of Apollo Global Management, Inc., subject to the terms of the agreement. The merger, which is subject to regulatory approvals and certain other closing conditions, is expected to be completed in the first half of our fiscal year ending July 31, 2021.
