Explanation of Responses:

1. These ordinary shares were granted to Dr. Hutson on March 1, 2016 in consideration of her services on Endo International plc's Board of Directors. The number of shares granted was based on the aggregate value of the grant divided by $42.19, the closing price of Endo International plc's ordinary shares on March 1, 2016, the date approved by the Endo International plc's Board of Directors on February 23, 2016 to be the date of valuation.

2. This number represents ordinary shares, of which 6,515 have been deferred under Endo International plc's directors deferred compensation plan.

3. These shares represent stock withheld by Endo International plc to satisfy Dr. Hutson's tax withholding obligations on shares acquired.
