Explanation of Responses:
1. The sales reported in this Form 4 were effected pursuant to the Reporting Person's Rule 10b5-1 trading plan.
2. Includes 5,500 Restricted Stock Units ("RSUs"). The Reporting Person is entitled to receive one (1) share of Common Stock for each one (1) RSU upon vesting. 25% of the RSUs shall vest on each anniversary following August 14, 2014, subject to the Reporting Person remaining a service provider through each such vesting date.
3. This transaction was executed in multiple trades in prices ranging from $25.03 to $25.54, inclusive. The price reported in Column 4 above reflects the weighted average sale price. The Reporting Person hereby undertakes to provide to the Securities and Exchange Commission staff, the Issuer, or a security holder of the Issuer, upon request, full information regarding the number of shares sold at each respective price within the range set forth in this footnote.
4. The shares subject to the option are early exercisable. 25% of the shares subject to the option vest on the first anniversary measured from September 19, 2012 (the "Vesting Commencement Date"), and 1/48th of the total number of shares vest in thirty-six (36) successive and equal monthly installments thereafter, such that 100% of the shares subject to the option will be fully vested on the fourth anniversary of the Vesting Commencement Date.
5. 100% of the shares subject to the option were fully vested and exercisable.
