1. The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person on September 2, 2014.
2. This transaction was executed in multiple trades at prices ranging from $37.50 to $37.63. The price reported above reflects the weighted average price, rounded to the nearest hundredth. The Reporting Person undertakes to provide, upon request, to the SEC staff, the Issuer or any security holder of the Issuer full information regarding the number of shares sold at each separate price within the ranges described in this footnote.
3. These shares of common stock are held in the Sanger Family Legacy Trust I.
4. These options were originally granted on March 12, 2009 as options to purchase common stock of Envision Healthcare Corporation ("EVHC"), formerly known as Emergency Medical Services Corporation, and vested ratably on the first four anniversaries of the grant date. In connection with the merger of an indirect subsidiary of the Issuer with and into EVHC, with EVHC continuing as the surviving corporation and an indirect wholly owned subsidiary of the Issuer, the options converted to fully vested options to purchase common stock of the Issuer pursuant to a rollover agreement between the Reporting Person and the Issuer.
