Explanation of Responses:

1. The reporting person's original Form 3, which reported 19,831 shares directly owned, inadvertently omitted 8,436 additional directly owned shares, for a total of 28,267 shares directly owned. The 8,436 additional shares were also inadvertently omitted from four Form 4 filed by the reporting person after the original Form 3 was filed.

2. The reporting person's original Form 3, which reported 2,000 shares indirectly owned by trust should have been 705 shares indirectly owned by trust. This was incorrectly reported on four Form 4 filed by the reporting person after the original Form 3 was filed.

3. The reporting person disclaims beneficial ownership of these shares.
