MATERIAL INFORMATION

Avianca Holdings S.A. informs that it has incorporated the company Avianca—CAE Flight Training (ACFT) S.A.S. with domicile in the city of Bogotá D.C. This new company intends to provide training services in flight simulators to the crew of Avianca Holdings’ subsidiaries and to third parties, once it has obtained the corresponding governmental authorizations. The initial subscribed capital of the Company is four hundred million pesos (COP $ 400,000,000) and 100% of the shares are owned by Avianca Holdings S.A. Subsequently, once the transaction has been cleared by the antitrust authority under the merger control regulation, CAE International Holdings Limited will acquire a 50% interest in said new company.
