Explanation of Responses:

1. On March 21, 2013, the Reporting Person was elected to serve on the Board of Directors of the Issuer.

2. The Reporting Person is the direct beneficial owner of 2,769 shares of Class A Common Stock. Additionally, she is the indirect beneficial owner of 555 shares of Class A Common Stock owned by the Catherine U. Biddle IRA for the benefit of Catherine U Biddle and 50,000 shares of Class A Common Stock owned by Willing L. Biddle, the Reporting Person's husband.
