1. The reported securities are held directly by Chancellor V,L.P. ("Chancellor V"). The Reporting Person is a managing director of Invesco Private Capital, Inc. ("IPC") which is the investment manager of Chancellor V and a member of the investment committee of IPC Direct Associates V, LLC, which is the general partner of Chancellor V ("IPC Direct") and may be deemed to share voting and dispositive power of the shares held by Chancellor V. The Reporting Person disclaims beneficial ownership of the securities held by Chancellor except to the extent of any pecuniary interest therein.

2. The reported securities are held directly by Chancellor V-A,L.P. ("Chancellor V-A"). The Reporting Person is a managing director of IPC which is the investment manager of Chancellor V-A and a member of the investment committee of IPC Direct which is the general partner of Chancellor V-A and may be deemed to share voting and dispositive power of the shares held by Chancellor V-A. The Reporting Person disclaims beneficial ownership of the securities held by Chancellor V-A except to the extent of any pecuniary interest therein.

3. The reported securities are held directly by Citiventure 2000,L.P. ("Citiventure"). The Reporting Person is a managing director of IPC which is the investment manager of Citiventure and a member of the investment committee of IPC Direct which is the general partner of Citiventure and may be deemed to share voting and dispositive power of the shares held by Citiventure. The Reporting Person disclaims beneficial ownership of the securities held by Citiventure except to the extent of any pecuniary interest therein.
