Other Events

On November 10, 2013, Amira Nature Foods Ltd (“Amira”) granted to Mr. Chanana options to purchase 361,278 ordinary shares of Amira at a price per ordinary share which was the fair market value at the time of the closing of Amira’s initial public offering of ordinary shares on the New York Stock Exchange (the “IPO”). The grant of options was made pursuant to resolutions duly adopted by the Compensation Committee of the Board of Directors of Amira (the “Board”) and ratified by the Board. The Company also entered into a Share Option Agreement, dated November 10, 2013 between Amira Nature Foods Ltd. and Karan A. Chanana. The Share Option Agreement is attached as Exhibit 10.1 to this Current Report on Form 6-K and is incorporated by reference herein.
