Explanation of Responses:
1. Represents a restricted stock award. These shares will vest in four equal annual installments on the first, second, third and fourth anniversaries of the grant date which was July 15, 2011.
2. Represents a restricted stock award. One-third of the award will vest on each of March 31, 2013, 2014 and 2015, subject to forfeiture of all or a portion of the award if certain financial and/or operational performance targets for the year of grant (2012) established by the company's Compensation Committee are not achieved.
3. Only vested shares may be exercised. These options will vest in four equal annual installments on the first, second, third and fourth anniversaries of the grant date which was July 15, 2011.
4. Reporting person received the award under the Amended and Restated Ticketmaster Entertainment, Inc. 2008 Stock and Annual Incentive Plan.
