Item 8.01.
Other Events.
 
On February 14, 2020, Post Holdings, Inc. (the “Company”) announced that it provided conditional notice that it has elected to redeem its outstanding 5.50% Senior Notes due 2025 (the “Notes”), having an aggregate outstanding principal amount of $1,000.0 million, in accordance with the terms of the Indenture, dated as of February 14, 2017, by and among the Company, each of the guarantors party thereto and Wells Fargo Bank, National Association, Trustee, as supplemented by the First Supplemental Indenture, dated as of March 28, 2017, the Second Supplemental Indenture, dated as of January 30, 2018, and the Third Supplemental Indenture, dated as of July 5, 2018. The Company will redeem the Notes at 104.125% of the principal amount thereof, plus the accrued and unpaid interest to, but excluding, the redemption date (the “Redemption Amount”), which the Company anticipates will be March 2, 2020.

The Company’s redemption of the Notes is subject to the satisfaction or waiver, in its discretion, of the condition that it receive proceeds from its previously announced private offering of $1,250.0 million in aggregate principal amount of 4.625% Senior Notes due 2030 on terms satisfactory to the Company, in its sole discretion, generating net proceeds in an amount that is sufficient to effect the redemption of the Notes at the Redemption Amount and the payment of any fees and expenses incurred in connection with the offering and the redemption.
