Explanation of Responses:

1. The shares were issued in connection with the asset purchase agreement, dated November 23, 2009 (the "Purchase Agreement"), between the issuer and Las Vegas Railway Express, Inc., a Nevada corporation "LVRE"). Pursuant to the Purchase Agreement, the issuer issued to LVRE or its designees 4,000,000 shares are common stock, and to issue to LVRE or its designees an additional 16,000,000 shares of common stock upon the occurrence of certain milestones set forth in the Purchase Agreement, in exchange for all of the assets of LVRE. In connection with the issuance of the 16,000,000 shares, the issuer waived compliance with such milestones, subject to the condition that the shares will be returned to the issuer if the milestones are not achieved within two years.
