EXPLANATORY NOTE

This Post-Effective Amendment (“PEA”) No. 4 to the Registration Statement of Whitebox Mutual Funds (the “Trust”) on Form N-1A hereby incorporates Parts A, B and C from the Company’s PEA No. 3 on Form N-1A filed October 31, 2012 and related 497 filing on November 5, 2012. This PEA No. 4 is filed for the sole purpose of submitting the XBRL exhibits for the risk/return summary first provided in the Prospectus filed on October 31, 2012 (the risk/return summary contained in the 497 filing on November 5, 2012 did not differ from that filed October 31, 2012).
