Explanation of Responses:
1. 1. These shareholders are owned by WTL Group, Inc. Joseph Mezey is a majority shareholder has the power dispose of these shares.
2. Class B Common Stock are entitled to dividends or other distributions (including liquidating distributions) per share, whether in cash, in kind, in stock, or by any other means, equal to the amount per share declared by the Board of Directors of the Corporation for each share of Class A Common Stock. Unless otherwise required by the Delaware General Corporation Law, the Class A Common Stock and the Class B Common Stock shall vote as a single class with respect to all matters submitted to a vote of shareholders of the Corporation. Each holder of Class B Common Stock are entitled to one hundred (100) votes for each share of Class B Common Stock.
3. Mr. Mezey has the option to purchase 6,000,000 shares of Common Stock, Class A at an exercise price of $0.10 per share. The options expire one-year from their vesting. The options vest at a rate of 500,000 share per month beginning September 1, 2011 and ending August 1, 2012.
