EXPLANATORY NOTE

This current report on Form 6-K (“Form 6-K”) is being filed by NQ Mobile Inc. (the “Company”) solely to replace the consent letters attached as Exhibits 15.1 and 15.2 of the Company’s Form 20-F for the fiscal year ended December 31, 2012 (“Form 20-F”) filed with the Securities and Exchange Commission on April 19, 2013 in their entirety with the documents included as Exhibit 99.1 and Exhibit 99.2 of this Form 6-K.
