Item 8.01. Other Events.
As previously announced, VEREIT, Inc. (“VEREIT”) entered into a Stipulation and Agreement of Settlement (the “Derivative Stipulation”) in connection with Witchko v. Schorsch, et al., No. 1:15-cv-06043-AKH. On October 4, 2019, the court issued an order granting preliminary approval of the Derivative Stipulation and the settlement set forth therein (the “Derivative Settlement”) and, as required thereby, VEREIT has issued the press release, dated October 15, 2019, containing the notice of Derivative Settlement which is attached hereto as Exhibit 99.1.
