Item 8.01. Other Events.

On June 14, 2019, the court issued a written order adjourning the trial of the class action and the remaining opt-out action against VEREIT, Inc. and VEREIT Operating Partnership, L.P., (together the “Company”) pending in the United States District Court for the Southern District of New York  captioned In re American Realty Capital Properties, Inc. Litigation No. 15-MC-00040 (AKH), and Jet Capital Master Fund, L.P. v. American Realty Capital Properties, Inc., et al., No. 15-cv-307, from September 9, 2019 until January 21, 2020.

Additional information about the lawsuits can be found under the caption “Legal Proceedings” in the Company’s Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2019 as filed with the Securities and Exchange Commission on May 7, 2019.
