1. 1,000 of these shares are owned directly by Hunt Equities, Inc., which is an indirect subsidiary of the reporting person. The remaining 1,625,000 of these shares are owned directly by Hunt-InfraREIT, L.L.C., which is an indirect subsidiary of the reporting person.

Ray L. Hunt and Hunter L. Hunt, through one or more intermediaries, control the reporting person. By virtue of this relationship, they may be deemed to have or share beneficial ownership of securities held by the reporting person. Messrs.
