Explanation of Responses:

1. Upon the vesting of restricted stock units granted to the reporting person on February 7, 2013, 6,197 shares were withheld by the company from the reporting person to cover the withholding tax obligation with respect to the vesting of 15,625 restricted stock units.

2. Includes 234,375 unvested restricted stock units.

3. Shares held by The Rosenblatt Family Trust U/A/D 9/29/2000, for which the reporting person is a trustee.

4. Shares held by the Rosenblatt 2007 Grantor Retained Annuity Trust dated July 12, 2007, for which the reporting person is a trustee.
