Explanation of Responses:
1. This sale was effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on August 31, 2012.
2. The reporting person was granted these stock options on April 18, 2006 and are fully vested.
3. The reporting person was granted these options on July 5, 2006 and are fully vested.
4. The reporting person was granted these options on September 10, 2007 and are fully vested.
5. The reporting person was granted these options on September 17, 2007 and are fully vested.
6. The reporting person was granted these options on March 25, 2008. The options vest equally (over the course of 60 months) on the first day of each month beginning on March 1, 2008, such that 100% of the options will be fully vested on February 1, 2013.
7. The reporting person was granted these stock-settled stock appreciation rights (SSARs) on January 5, 2009. The SSARS vest 25% annually beginning on December 31, 2009 such that 100% of the SSARS will be fully vested on December 31, 2012.
8. The reporting person was granted these SSARs on November 23, 2010. The SSARs vest 50% on December 31, 2010 and 25% annually beginning on December 31, 2011.
9. The reporting person was granted these SSARs on November 23, 2010. The SSARs vest equally (over the course of 60 months) beginning on November 1, 2010 such that 100% of the SSARs will be fully vested on October 1, 2015.
