This Amendment No. 1 to the Schedule 13G (this “Amendment”) is being filed on behalf of Fir Tree, Inc., a New York corporation (“Fir Tree”), relating to Ordinary Shares (the “Shares”) of FlatWorld Acquisition Corp., a British Virgin Islands business company with limited liability (the “Issuer”), purchased by certain private investment funds for which Fir Tree serves as the investment manager (the “Funds”).

This Amendment is being filed to report that Fir Tree no longer beneficially owns the Issuer’s Shares.
