Explanatory Note

 

This Amendment No. 1 to the Form 12b-25 is being filed to uncheck the box in Part II of this Form 12b-25 as the Company will not file the Form 10-Q for the quarter ended March 31, 2013 on or before the fifth calendar day following the prescribed due date. The Company expects to file the Form 10-Q on or before May 31, 2013.

As previously disclosed in the Form 8-K filed with the SEC on April 23, 2013, the Company recently hired a new Chief Financial Officer to replace its Interim Chief Financial Officer. The Company's management and accounting staff have been working diligently to complete the financial statements for the quarter ended March 31, 2013 but are unable to file its Quarterly Report on Form 10-Q for the quarter ended March 31, 2013 on a timely basis because of the recent change in personnel. The Company expects to file the Form 10-Q on or before May 31, 2013.

Part IV – No. 3 – Explanation of Anticipated Change.

 

A significant change in the Company’s results of operations for the quarter ended March 31, 2013 is expected in comparison to the quarter ended March 31, 2012. The Company expects a net loss of $0.6 million for the quarter ended March 31, 2013, an improvement of approximately $2.1 million from the net loss of $2.7 million for the same period last year. The most significant change between the periods was a $4.2 million decrease in the Company’s provision for loan losses in the 2013 quarter, the after-tax impact of which was partially offset by a $1.4 million reduction in the income tax benefit. The reduction in the income tax benefit was attributable to the Company recording a 100% valuation allowance against its deferred tax asset as of December 31, 2012 and for subsequent periods.
