1. This transaction was executed in multiple trades at prices ranging from $18.55 to $18.75. The price reported in Column 4 is a weighted average price. The reporting person hereby undertakes to provide upon request to the SEC staff, the issuer or a security holder of the issuer full information regarding the number of shares and prices at which the transactions were effected.
2. The options were awarded on 2/24/2012 and vest over three years, with one-third vesting on each of the first, second and third anniversaries of the date of grant, provided the Optionee's employment continues.
3. The options were awarded on 10/3/2011 and vest over three years, with one-third vesting on each of the first, second and third anniversaries of the date of grant, provided the Optionee's employment continues.
4. The options were awarded on 5/9/2011. One-third of the options vest on the date of grant and the remaining two-thirds vest in two equal annual installments on the first and second anniversaries of the date of grant, provided the Optionee's employment continues.
