2. Includes 2,419 of restricted shares of common stock that were granted to Mr. McKey on 2/11/2010 and will vest in 3 equal installments on 2/11/2011, 2/11/2012, and 2/12/2013.

3. The options are exercisable (in 3 equal installments) on 2/16/08, 2/16/09, 2/16/10.
